Terms & Conditions

These Terms & Conditions ("Terms") govern the use of the MediCore platform (the "Service") by the hospital or organization that signed up (the "Customer"). By creating an account or using the Service, the Customer agrees to these Terms.
1. The Service
MediCore is a multi-tenant hospital ERP delivered as software-as-a-service. Features and modules available to the Customer depend on the Customer's active subscription plan.
2. Accounts & users
- The Customer is responsible for creating and managing user accounts under its tenant, and for the actions of those users.
- Login credentials must be kept confidential. The Customer must promptly deactivate access for users who leave.
- Each plan has user, patient and storage caps; exceeding a cap blocks new inserts until the Customer upgrades.
3. Fees & billing
- Setup fee. A one-time onboarding fee of $650 is charged at go-live. It covers data migration, master-data configuration, staff training and go-live support.
- Subscription. After go-live, the Customer pays a recurring fee based on the chosen plan (Starter, Professional or Enterprise), billed monthly or annually. Annual billing is prepaid.
- Taxes. Fees are exclusive of applicable taxes, which are added at invoicing.
- Late payment. Invoices unpaid for more than 15 days may result in suspension of the Service. Data is preserved during suspension.
- Price changes. Subscription prices may change with 30 days' notice. Setup fee changes do not affect Customers who have already onboarded.
4. Refunds
- The 14-day free trial is non-billable and requires no card.
- Setup fees are non-refundable once onboarding work has begun.
- Monthly subscriptions are non-refundable for the current period; you may cancel to stop future charges.
- Annual subscriptions may be refunded prorated for unused full months if you cancel within the first 60 days.
5. Customer data
The Customer retains all rights to the data it stores in the Service ("Customer Data"). MediCore processes Customer Data only to provide and support the Service, as further described in the Privacy Policy.
6. Acceptable use
The Customer will not: (a) upload unlawful content, (b) reverse-engineer the Service, (c) circumvent tenant isolation or access-control mechanisms, (d) use the Service to spam patients, or (e) resell the Service without a written reseller agreement.
7. Availability
MediCore targets 99.5% monthly uptime, excluding scheduled maintenance windows announced in advance. Enterprise customers may negotiate a higher SLA.
8. Support
- Starter: Email support, next-business-day response.
- Professional: Email + chat, same-business-day response.
- Enterprise: Priority phone, chat and email; dedicated onboarding manager; custom SLAs.
9. Term & termination
Either party may terminate a subscription at the end of the current billing period. On termination, the Customer may export its data for 30 days; after that, live data is deleted. Nothing prevents earlier termination for material breach not cured within 15 days of written notice.
10. Warranties & disclaimers
MediCore provides the Service "as is" and disclaims all warranties not expressly stated in these Terms, to the maximum extent permitted by law. MediCore is not a medical device, does not replace clinical judgment, and is not warranted for any specific clinical outcome.
11. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages. MediCore's aggregate liability for any claim under these Terms is capped at the fees paid by the Customer in the 12 months preceding the claim.
12. Confidentiality
Each party will keep the other's confidential information confidential and use it only to perform under these Terms.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted here with a new "Last updated" date and, for existing Customers, communicated by email at least 15 days before taking effect.
14. Governing law
These Terms are governed by the laws of the jurisdiction where MediCore's operating entity is registered, unless a mandatory local law overrides. Disputes are resolved in the competent courts of that jurisdiction.
